These Terms of Use ("Terms") govern your use of the websites operated by PARAVION, Inc. ("PARAVION," "we," "us," or "our"), including wereyouraisedbywolves.com and shop.wereyouraisedbywolves.com (together, the "Sites"), and your submission of material to the Were You Raised By Wolves?® podcast (the "Show"). By using the Sites or submitting material to us, you agree to these Terms. If you do not agree, please do not use the Sites.
Our Privacy Policy explains how we collect and use personal information. If there is a conflict between these Terms and the Privacy Policy with respect to the collection, use, or disclosure of personal information, the Privacy Policy controls.
LISTENER SUBMISSIONS
By voluntarily submitting information, communications, or content to us or the Sites by any means (including, but not limited to, questions, personal stories, anecdotes, jokes, fictional stories, photos, videos, artwork, illustrations, text messages, emails, voicemail messages, audio recordings, physical correspondence, direct messages, and comments or posts sent to, posted on, tagged to, or otherwise directed to accounts we operate) (any of the foregoing, "User-Generated Content"), you agree that such User-Generated Content is non-confidential for all purposes (provided that personal information we collect in connection with your submission, such as your email address or phone number, will be handled as described in our Privacy Policy), and you grant to PARAVION, and to its affiliates, partners, and licensees, a non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, and royalty-free right and license to use, copy, record, distribute, reproduce, disclose, sublicense (through multiple levels), display, publicly perform, modify, edit, transmit, publish, broadcast, translate, make derivative works of, adapt, and otherwise use and exploit in any manner whatsoever, all or any portion of your User-Generated Content (and derivative works thereof) and all copyright, trade secret, trademark, or other intellectual property rights therein, for any purpose whatsoever, in all formats, on or through any means or medium now known or hereafter developed, and to advertise, market, and promote the same.
Without limitation, the granted rights include the right to: (a) configure, host, index, cache, archive, store, digitize, compress, optimize, modify, reformat, edit, adapt, publish in searchable format, and remove such User-Generated Content and combine it with other materials; (b) use any ideas, concepts, know-how, or techniques contained in any User-Generated Content for any purpose whatsoever, including developing, producing, and marketing products and/or services; and (c) include your name, username, city of residence, and other identifying information you voluntarily provide with your submission in connection with any such use. We may edit, shorten, paraphrase, anonymize, combine with other materials, or otherwise modify any User-Generated Content in our discretion.
To further effect these rights, you also grant to PARAVION the unconditional, perpetual, irrevocable right to use your name, persona, and likeness in connection with any User-Generated Content, without any obligation or remuneration to you. Except as prohibited by law, you waive any moral rights (including attribution and integrity) that you may have in any User-Generated Content, even if it is altered or changed in a manner not agreeable to you. To the extent such rights are not waivable, you irrevocably agree not to exercise them in a manner that interferes with any exercise of the granted rights. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this section.
By submitting User-Generated Content, you represent and warrant that: (a) you have full authority to grant the rights set forth above; (b) your User-Generated Content does not and will not, in whole or in part, infringe the intellectual property rights, rights of privacy or publicity, or any other rights of any third party; and (c) you have reached the legal age of majority where you live (18 in most places). A parent or guardian must submit on behalf of any minor.
You further agree that: (a) your User-Generated Content will be treated as non-confidential regardless of whether you mark it "confidential," "proprietary," or the like, and will not be returned; (b) the submission of User-Generated Content creates no obligation or duty on our part to post or use it or, if we do, to give you credit; and (c) we assume no obligation of any kind to you or any third party with respect to your User-Generated Content. We may contact you by phone, email, or mail regarding your submission. Upon our request, you will furnish us with documentation necessary to substantiate your rights to such content and to verify your compliance with these Terms. User-Generated Content may also be subject to additional terms that we specify for particular submissions or promotions. Physical items you send us (including gifts) become our property and will not be returned.
You acknowledge that the Internet and mobile communications may be subject to breaches of security, that submissions may not be secure, and that you should consider this before submitting User-Generated Content; you do so at your own risk.
UNSOLICITED IDEAS AND MATERIALS
We do not seek unsolicited ideas or materials for products or services, or suggested improvements to products or services, including ideas, concepts, inventions, or designs for websites, services, or products (collectively, "Unsolicited Ideas and Materials"). Any Unsolicited Ideas and Materials you post on or send to us via the Sites are deemed User-Generated Content and licensed to us as set forth above. In addition, PARAVION retains all of the rights held by members of the general public with regard to your Unsolicited Ideas and Materials. Our receipt of your Unsolicited Ideas and Materials is not an admission of their novelty, priority, or originality, and it does not impair our right to contest existing or future intellectual property rights relating to them.
NO PROFESSIONAL RELATIONSHIP; ADVICE DISCLAIMER
The content we provide, including responses to listener submissions, is for general informational and entertainment purposes only and is not legal, medical, tax, or other professional advice. You should not act or rely on any such content without seeking advice from a qualified professional in your jurisdiction. Your use of any information provided is at your own risk. Nothing in these Terms or in any content we provide creates a professional relationship (such as attorney-client) between you and us.
Views, statements, advice, or opinions expressed by guests, listeners, or other third parties on the Show or the Sites are their own and do not necessarily reflect the views of PARAVION.
STORE PURCHASES
You must be 18 or older (or the age of majority where you live) to make purchases on the Sites. Additional policies posted on our store, such as shipping and return policies, apply to your purchases and are incorporated into these Terms.
We try to display our products, pricing, and availability accurately, but errors may occur, and product images may differ slightly from the items delivered. We reserve the right to correct errors, to change or discontinue products and prices at any time without notice, and to refuse or cancel any order, including an order affected by a pricing or availability error; if we cancel an order after you have been charged, we will issue a refund. You are responsible for any applicable sales or similar taxes, which are calculated at checkout. Promotional codes and discounts are subject to any terms stated with the offer and cannot be applied retroactively.
PROHIBITED CONDUCT
You agree not to: (a) use the Sites in violation of any applicable law or regulation; (b) interfere with or disrupt the operation or security of the Sites, or attempt to gain unauthorized access to the Sites, other users' accounts, or our systems; (c) use robots, scrapers, or other automated means to access or extract content or data from the Sites without our written permission; (d) introduce viruses, malware, or other harmful code; (e) impersonate any person or misrepresent your affiliation with any person or entity; (f) use the Sites or their content for commercial purposes without our written permission; (g) infringe the intellectual property or other rights of any third party; or (h) submit material that is unlawful, threatening, harassing, defamatory, obscene, or that you do not have the right to submit. We may suspend or terminate your access to the Sites for violations of these Terms.
INDEMNIFICATION
You agree to indemnify and hold harmless PARAVION and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of the representations and warranties in the Listener Submissions section above; or (b) your violation of these Terms or of applicable law in connection with your use of the Sites.
THIRD-PARTY SITES AND SERVICES
The Sites and the Show may contain links to or integrations with third-party websites and services, including podcast platforms, social media, and membership services. We do not control those third parties and are not responsible for their content, terms, or privacy practices. Your use of any third-party site or service is governed by that third party's own terms and policies.
OUR INTELLECTUAL PROPERTY
The Sites and the Show, including all content we create (text, audio, graphics, logos, and trademarks, including Were You Raised By Wolves?®), are owned by PARAVION or its licensors and are protected by intellectual property laws. You may access the Sites and the Show for your personal, non-commercial use, and you are welcome to link to publicly available episodes and pages and to share them using the sharing tools provided by podcast and social platforms. You may not otherwise reproduce, republish, sell, modify, or commercially exploit our content without our written permission. No rights in our content or trademarks are granted to you except as expressly stated in these Terms.
DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Sites, the Show, and all content made available through them are provided "as is" and we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and the accuracy, completeness, or reliability of any content or user submissions.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Sites or the Show, or your reliance on any content, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms, the Sites, the Show, or any content will not exceed the greater of one hundred dollars ($100) or the amounts you paid us in the twelve months before the claim arose. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law rules. Any dispute arising under or relating to these Terms shall be resolved exclusively in the state and federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts.
CHANGES TO THESE TERMS
We may update these Terms from time to time. The "Last updated" date at the top shows when they were last revised. If we make material changes, we will post a prominent notice on the Sites, and where reasonably practicable will provide notice before the changes take effect. Your continued use of the Sites after updated Terms take effect means the updated Terms apply to your future use of the Sites and future submissions. User-Generated Content is governed by the Terms in effect at the time it was submitted.
MISCELLANEOUS
If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any store policies or additional terms incorporated by reference, constitute the entire agreement between you and PARAVION concerning your use of the Sites and your submissions. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
